Terms of Service

These terms govern access to Migratrix products, websites, and services. By using the Services, you agree to the terms below.

Overview

Migratrix provides software and services to help teams ship database changes safely. These Terms of Service govern your access to and use of Migratrix products, websites, and services.

Using Migratrix

  • You must be legally able to enter into contracts. If you use the Services on behalf of an organization, you represent you have authority to bind that organization.
  • You will maintain the confidentiality of your account credentials and are responsible for activity under your account.
  • You will comply with applicable laws and these terms when using the Services.

Accounts, Workspaces, and Roles

You may create or be invited to a workspace. Workspace owners and admins control roles such as Admin, Approver, Developer, and Viewer and may manage or remove access at any time.

Billing and Payment

  • Plans: Free, Starter, Growth, and Scale tiers are described on the Plans page.
  • Fees: Unless otherwise stated, fees are billed in advance, non-refundable, and exclusive of taxes.
  • Changes: We may change prices or plan limits with notice. Changes take effect at the next billing cycle unless otherwise agreed.
  • Late or failed payments: We may suspend or downgrade service for unpaid invoices.

Acceptable Use

You will not and will not permit others to:

  • Use the Services for unlawful, harmful, or deceptive purposes.
  • Attempt to access another customer's data or service areas without authorization.
  • Probe, scan, or test the vulnerability of any system or network without written authorization.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer or create derivative works of the Services except to the extent permitted by law.
  • Misuse trademarks, branding, or content without permission.

Customer Data and Security

Customer Data means data you submit to the Services. You retain all rights to Customer Data. We process Customer Data to provide and improve the Services, consistent with the Privacy Policy and any applicable Data Processing Addendum.

  • We implement administrative, technical, and physical safeguards designed to protect Customer Data.
  • You are responsible for securing your endpoints, agents, database credentials, and configuration.

Intellectual Property and Feedback

The Services, including software and documentation, are owned by Migratrix or its licensors. No rights are granted except as expressly stated. If you provide feedback, we may use it without restriction or obligation.

Pre-release and Beta Features

From time to time we may offer preview features. These are provided as is, may be subject to additional terms, and can be changed or discontinued at any time.

Warranties and Disclaimers

  • We provide the Services using reasonable skill and care. Except as expressly provided, the Services are provided as is without warranties of any kind.
  • We do not warrant that the Services will be uninterrupted, error-free, or meet your requirements.

Limitation of Liability

To the maximum extent permitted by law, neither Migratrix nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of use, data, or profits. Our total liability for all claims relating to the Services will not exceed the amounts paid by you to Migratrix for the Services in the 12 months before the claim arose.

Indemnification

You will defend, indemnify, and hold harmless Migratrix and its affiliates from and against claims, liabilities, damages, and expenses arising from your use of the Services or violation of these terms.

Term, Suspension, and Termination

  • These terms remain in effect while you use the Services.
  • We may suspend or terminate access for material breach, legal risk, or security concerns.
  • Upon termination, you must stop using the Services. Certain provisions survive, including intellectual property, confidentiality, disclaimers, limitations, and indemnity.

Our Privacy Policy explains how we collect and use information. If you require a Data Processing Addendum, contact legal@migratrix.com.

Governing Law and Disputes

These terms are governed by the laws of your contracting entity's jurisdiction, without regard to conflict of law principles. Venue and jurisdiction will lie in the courts located there.

Changes to These Terms

We may update these terms from time to time. Changes take effect upon posting or as otherwise stated. If a change materially affects your rights, we will provide reasonable notice.
